Terms of Use

1. What the Service Is

Awisol (the "Service") is a software-as-a-service platform operated by Adaptive Web Intelligence Solutions LLC ("Awisol," "we," "us," or "our"). The Service allows businesses to upload text-based knowledge content (such as PDF, TXT, DOCX, and Markdown files), process that content into a searchable vector knowledge base, and embed an AI-powered chat widget on their websites so that their visitors can ask questions answered solely from that uploaded content.

By accessing or using the Service you ("Customer," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. The Service is intended for business use only — it is not directed at consumers acting in a personal, household, or family capacity. By using the Service you represent and warrant that you meet these requirements.

3. Accounts and Security

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us immediately at info@awisol.com if you suspect any unauthorized access to or use of your account. We will not be liable for any loss resulting from unauthorized use of your credentials.

You may not share your account credentials or allow third parties to access your account. Each account is licensed to a single business entity. You may create sub-accounts or multiple widget tokens within a single account as permitted by the Service interface.

4. Acceptable Use

You agree not to use the Service to:

• Upload, store, or transmit content that is unlawful, defamatory, obscene, fraudulent, or that violates any third party's rights, including intellectual property rights or privacy rights;
• Engage in or facilitate spam, unsolicited commercial messages, or mass marketing communications through the chat widget;
• Attempt to extract, reverse-engineer, scrape, or systematically collect data from the Service or from our underlying AI model infrastructure;
• Use the Service to build a competing product or to benchmark its performance without our prior written consent;
• Submit prompts designed to manipulate, jailbreak, or bypass the AI model's safety guidelines (prompt injection);
• Use the Service in connection with phishing, fraud, or any deceptive practice;
• Transmit malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system;
• Violate any applicable law, including export control laws, data protection laws, or industry-specific regulations (e.g., HIPAA, FERPA);
• Allow your embedded chat widget to be used for any purpose prohibited by this Section.

We reserve the right to suspend or terminate access immediately and without notice if we determine, in our sole discretion, that your use violates these restrictions.

5. Payment and Subscriptions

5.1 Trial Period

New accounts receive a 30-day free trial that includes 300 AI-answered questions. No credit card is required to start a trial. At the end of the trial period, the Service will revert to a free-tier with reduced functionality unless you subscribe to a paid plan.

5.2 Subscription Plan

Paid subscriptions are currently offered at $29 per month and include 2,000 AI-answered questions per billing cycle. Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel. Prices are subject to change with 30 days' prior notice.

5.3 Prepaid Credits

You may purchase prepaid question credits in addition to your monthly subscription. Prepaid credits do not expire and carry over month to month. All prepaid credit purchases are non-refundable once purchased, except as expressly provided in Section 5.5.

5.4 Cancellation

You may cancel your subscription at any time through the billing portal accessible from your account dashboard. Cancellation takes effect at the end of the current billing cycle. You will continue to have access to paid features through the end of the period for which you have already paid. We do not provide prorated refunds for unused portions of a billing cycle.

5.5 Refunds

If you are not satisfied with the Service, you may request a full refund of your most recent monthly subscription payment within 14 days of the charge by contacting us at info@awisol.com. This refund right applies once per customer account and does not apply to prepaid credit purchases or subscription renewals after the first payment. Refund requests submitted after the 14-day window are at our sole discretion.

6. Your Content and Data

You retain all ownership rights in the documents, text, and other content you upload to the Service ("Your Content"). By uploading Your Content, you grant Awisol a non-exclusive, worldwide, royalty-free license to process, store, index, and transmit Your Content solely for the purpose of providing the Service to you.

You represent and warrant that you have all rights necessary to grant the foregoing license and that Your Content does not infringe any third-party intellectual property rights or violate any applicable law.

The chat widget you embed on your website may collect visitor questions, conversation history, and associated metadata ("Visitor Data"). You are solely responsible for ensuring that your website's privacy policy accurately discloses to your visitors the collection and use of Visitor Data, including that it may be processed by third-party AI services, and for obtaining any required consents under applicable privacy laws (including GDPR, CCPA, or similar regulations).

We will not sell Your Content or Visitor Data to third parties. We may share data with our sub-processors (including OpenAI and AWS) solely as necessary to provide the Service, subject to confidentiality obligations.

7. AI-Generated Content Disclaimer

The Service uses OpenAI's language models and embedding technology to generate answers to visitor questions based solely on Your Content. While we design the system to minimize inaccurate or fabricated responses, AI-generated answers are not guaranteed to be accurate, complete, or current. Answers should not be construed as professional advice of any kind — legal, medical, financial, or otherwise.

You are solely responsible for the accuracy of Your Content. Errors, omissions, or outdated information in your uploaded documents will be reflected in the AI's answers. We strongly recommend that you review and update Your Content regularly and that you advise your visitors to verify important information independently.

You are responsible for disclosing to your website visitors that chat responses are generated by AI and for configuring the widget appropriately for your use case.

8. Intellectual Property

Awisol and its licensors own all right, title, and interest in and to the Service, including all software, algorithms, user interfaces, trademarks, service marks, trade names, and other proprietary materials ("Awisol IP"). These Terms do not grant you any ownership interest in Awisol IP.

Subject to your compliance with these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for your internal business purposes during the term of your subscription.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AWISOL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AWISOL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. NO ORAL OR WRITTEN ADVICE OR INFORMATION OBTAINED FROM AWISOL OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AWISOL, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF AWISOL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL AWISOL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO AWISOL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Termination

By you: You may cancel your account at any time by contacting us or using the account settings interface. Upon cancellation, your access to the Service will continue through the end of your current paid billing period.

By us: We may suspend or terminate your access to the Service immediately and without notice if you breach any provision of these Terms, engage in conduct that we determine, in our sole discretion, is harmful to us or other users, or if we are required to do so by law.

Effect of termination: Upon termination, your right to use the Service ceases immediately. We will retain Your Content for up to 30 days following termination, after which it may be permanently deleted. You are responsible for exporting any data you wish to retain before your account is terminated. Sections 6 (Your Content and Data), 7 (AI-Generated Content Disclaimer), 8 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 12 (Governing Law), and this sentence will survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws provisions. Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute informally by contacting us at info@awisol.com and allowing 30 days for good-faith negotiation.

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Sacramento County, California, and each party hereby consents to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' prior notice by email to the address associated with your account and by updating the "Last updated" date at the top of this page. Non-material changes (such as typographical corrections or clarifications that do not affect your rights) may be made without notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue your use of the Service and cancel your subscription before the effective date.
